All services are offered by Elias & Rhys, LLC, doing business as Zhuzhy. All contractual relationships, obligations, and rights referenced in these Terms are with Elias & Rhys, LLC.

Services
Provided

Zhuzhy offers bespoke presentation design, executive storytelling, design coaching, and facilitated workshops. Our services are creative, strategic, and advisory in nature. We do not provide legal, financial, medical, or human resources advice.

Client
Responsibilities

Clients agree to provide timely access to necessary information, materials, and feedback to enable delivery of services. Any delays caused by the client may affect timelines and outcomes.

Intellectual
Property

All original work product created by Zhuzhy for a client engagement, including slide designs, presentation frameworks, and workshop materials, will be owned by the client upon full payment, unless otherwise agreed in writing. Zhuzhy retains the right to use anonymized versions for internal reference and portfolio purposes.

Payment & Fees

Fees for services will be outlined in individual proposals or engagement agreements. Payment terms will be specified in those documents. Zhuzhy does not offer subscription services or automated billing.

No Guarantees

While we strive to support compelling communication outcomes, we do not guarantee specific business results or performance metrics. Our services are not intended to serve as a substitute for client decision-making or executive judgment.

Limitation of Liability

To the fullest extent permitted by law, Elias & Rhys, LLC (d/b/a Zhuzhy) shall not be liable for indirect, incidental, consequential, or special damages arising out of or in connection with the services provided. Our total liability for any claim shall not exceed the amount paid by the client for the specific engagement.

Dispute Resolution

Any disputes arising under these Terms will be governed by the laws of the State of Oregon, without regard to its conflict of laws principles. You agree to resolve any disputes through good faith negotiation, and if needed, mediation prior to pursuing legal remedies.

Workshops & Facilitated Sessions

Workshops, whether virtual or in-person, are designed for collaborative, strategic exploration. Participation does not constitute legal, financial, medical, or HR advice. All materials shared during workshops are proprietary and may not be recorded or redistributed without prior written consent. Elias & Rhys, LLC is not responsible for participant outcomes or external implementation decisions. Participants are expected to contribute in a professional and respectful manner.

For in-person sessions, we are not liable for disruptions caused by venue issues, inclement weather, or travel complications beyond our control.

Modification of Terms

We reserve the right to update these Terms from time to time. The most current version will always be available at our website. Continued use of our services after changes constitutes acceptance of the new Terms.
